These Terms of Service (“Terms”) govern your access to and use of Medicloud’s websites, applications, and related services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Services description

Medicloud provides cloud-based software for laboratory operations, including workflows such as patients, orders, analysis data, units, payments, and related analytics. Features may vary by plan or configuration. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable.

Accounts

You must provide accurate registration information and safeguard your credentials. You are responsible for activity under your account. Notify us promptly of unauthorized use. We may suspend or terminate accounts that violate these Terms or pose security risks.

Acceptable use

You agree not to:

  • Use the Services in violation of law or third-party rights;
  • Attempt to gain unauthorized access to systems, data, or other accounts;
  • Introduce malware, overload infrastructure, or interfere with other users;
  • Use the Services to send unsolicited bulk communications without consent;
  • Reverse engineer or circumvent security or usage limits except where permitted by law.

Your data and privacy

Our collection and use of personal information is described in our Privacy Policy. You are responsible for the accuracy of data you enter and for complying with applicable regulations (including healthcare or laboratory rules) when using the Services.

Intellectual property

The Services, including software, branding, and documentation, are owned by Medicloud or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes. You may not copy, modify, distribute, or create derivative works except as allowed by law or with our written consent.

Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation. Clinical or diagnostic decisions remain your responsibility; the Services are tools to support operations, not a substitute for professional judgment or regulatory compliance.

Limitation of liability

To the maximum extent permitted by law, Medicloud and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability for claims arising from the Services is limited to the greater of amounts you paid us for the Services in the twelve months before the claim or one hundred dollars (USD), except where liability cannot be limited by law.

Indemnity

You will defend and indemnify Medicloud against claims arising from your use of the Services, your data or content, or your violation of these Terms or applicable law, subject to our prompt notice and reasonable cooperation.

Termination

You may stop using the Services at any time. We may suspend or end access for breach of these Terms, risk to the Services or others, or legal reasons. Provisions that by nature should survive will survive termination, including intellectual property, disclaimers, limitation of liability, and governing law.

Governing law

These Terms are governed by the laws applicable in your primary jurisdiction of operation as agreed in your order form or contract, or where no separate agreement exists, by the laws of Libya, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive venue, unless mandatory consumer or employment laws provide otherwise.

Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms and update the “Last updated” date. Material changes may require additional notice where required by law. Continued use after the effective date constitutes acceptance of the updated Terms where permitted.
